服务条款(Terms of Service)

1. 接受条款(Acceptance of Terms)

By accessing or using the CBAM Compliance Management Platform ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not access or use the Platform. These Terms constitute a legally binding agreement between you and MintTech.

访问或使用CBAM合规管理平台（以下简称"平台"），即表示您同意受本服务条款（以下简称"条款"）约束。如果您不同意本条款，不得访问或使用本平台。本条款构成您与MintTech之间具有法律约束力的协议。

2. 服务描述(Description of Service)

The Platform provides a Software-as-a-Service (SaaS) solution for enterprises exporting to the European Union to manage Carbon Border Adjustment Mechanism (CBAM) compliance obligations, including but not limited to:

本平台为出口欧盟的企业提供碳边境调节机制（CBAM）合规义务管理的软件即服务（SaaS）解决方案，包括但不限于：

• 产品适用性识别与评估(Product applicability identification and assessment)
• CBAM填报数据管理与Excel导出(CBAM reporting data management and Excel export)
• 排放计算与勾稽校验(Emission calculation and cross-validation)
• 证据链与底稿管理(Evidence chain and working paper management)
• CBAM成本测算(CBAM cost estimation)
• 默认值查询(Default Values lookup)
• AI辅助政策解读(AI-assisted policy interpretation)

3. 用户账户(User Accounts)

You must register an account to use the Platform. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to:

您必须注册账户才能使用本平台。您有责任保管好登录凭据的机密性，并对您账户下发生的所有活动负责。您同意：

• 提供真实、准确、完整的注册信息(Provide true, accurate, and complete registration information)
• 及时更新账户信息(Update account information in a timely manner)
• 保护账户安全，不得将账户借予他人使用(Protect account security and not share credentials with others)
• 如发现未经授权的使用，立即通知我们(Notify us immediately of any unauthorized use)

4. 数据合规责任(Compliance Responsibility)

Important: The Platform is a tool to assist with CBAM compliance. It does NOT replace professional compliance judgment. You are solely responsible for:

重要提示：本平台是CBAM合规的辅助工具，不替代专业合规判断。您需对以下事项承担全部责任：

• 填报数据的真实性与准确性(The truthfulness and accuracy of reported data)
• 合规判断的最终决策(Final decisions on compliance judgments)
• 按时提交CBAM报告(Timely submission of CBAM reports)
• 遵守欧盟CBAM法规(Compliance with EU CBAM regulations)

The AI assistant feature provides interpretive guidance only and should not be relied upon as legal or regulatory advice.

AI助手功能仅提供解读性指导，不应作为法律或法规建议的依据。

5. 数据处理与隐私(Data Processing and Privacy)

Your use of the Platform is also governed by our Privacy Policy. By using the Platform, you consent to the collection, processing, and storage of your data as described in the Privacy Policy, including:

您对本平台的使用同时受我们的隐私政策约束。使用本平台即表示您同意按照隐私政策中所述收集、处理和存储您的数据，包括：

• 企业组织信息与联系信息(Organization and contact information)
• CBAM产品数据与排放数据(CBAM product and emission data)
• 填报记录与审计日志(Reporting records and audit logs)
• 平台使用行为数据(Platform usage behavior data)

6. 知识产权(Intellectual Property)

All content, software, and functionality of the Platform are owned by MintTech and protected by applicable intellectual property laws. You may not:

本平台的所有内容、软件和功能均为MintTech所有，受适用知识产权法保护。您不得：

• 复制、修改或分发平台软件(Copy, modify, or distribute the platform software)
• 反向工程或反编译平台(Reverse engineer or decompile the platform)
• 移除或修改任何版权声明(Remove or alter any copyright notices)
• 将平台用于竞争性分析(Use the platform for competitive analysis)

7. 服务可用性(Service Availability)

We strive to maintain Platform availability but do not guarantee uninterrupted service. We reserve the right to:

我们努力保持平台可用性，但不保证服务不中断。我们保留以下权利：

• 进行计划内维护(Perform scheduled maintenance)
• 暂停服务以修复缺陷或安全问题(Suspend service to fix defects or security issues)
• 更新或修改平台功能(Update or modify platform features)

We will make reasonable efforts to notify users of significant service interruptions in advance.

我们将尽合理努力提前通知用户重大服务中断。

8. 服务费用与收费权利(Service Fees and Right to Charge)

The Platform is currently provided free of charge. You may use all available features without payment during the free period. However, we explicitly reserve the right to:

本平台目前免费提供。在免费期间，您可以使用所有可用功能而无需付费。但我们明确保留以下权利：

• 在未来对部分或全部功能引入付费订阅或按量计费(Introduce paid subscriptions or usage-based billing for some or all features in the future)
• 设定不同服务等级及对应价格(Establish different service tiers and corresponding pricing)
• 调整免费版的功能范围或使用配额(Adjust the feature scope or usage quotas of the free tier)
• 对新增功能单独收费(Charge separately for newly introduced features)

We will notify registered users via email or Platform notification at least 30 days before any pricing changes take effect. Continued use of the Platform after the effective date of pricing changes constitutes acceptance of the new fee structure.

我们将在任何价格变更生效前至少30天通过电子邮件或平台通知已注册用户。价格变更生效后继续使用本平台即表示接受新的费用结构。

Once paid features are introduced, by subscribing you agree to:

一旦引入付费功能，订阅即表示您同意：

• 按选定方案支付订阅费用(Pay subscription fees according to the selected plan)
• 费用按年计费，到期自动续费(Fees are billed annually with automatic renewal)
• 提前30天书面通知取消续费(Provide 30 days written notice for cancellation)
• 逾期付款可能导致服务中止(Late payments may result in service suspension)

9. 数据安全与数据丢失免责(Data Security and Data Loss Disclaimer)

9.1 数据安全(Data Security)

While we implement industry-standard security measures to protect your data (as described in our Privacy Policy), no method of electronic storage or transmission is 100% secure. We cannot guarantee absolute data security against:

尽管我们采取了行业标准的安全措施来保护您的数据（详见隐私政策），但没有任何电子存储或传输方式是100%安全的。我们无法保证绝对的数据安全，以下风险无法完全排除：

• 黑客攻击、网络入侵或恶意软件(Hacking, cyber intrusions, or malware)
• 第三方服务提供商的安全漏洞(Security vulnerabilities in third-party service providers)
• 内部人员未授权访问(Unauthorized access by insiders)
• 零日漏洞(Zero-day vulnerabilities)

9.2 数据丢失风险(Data Loss Risk)

You are solely responsible for maintaining backup copies of all data entered into the Platform. We are not liable for any data loss resulting from:

您有责任自行保存输入本平台的所有数据的备份。我们对以下原因导致的任何数据丢失不承担责任：

• 服务器故障、硬件损坏或存储系统异常(Server failures, hardware damage, or storage system anomalies)
• 自然灾害、战争、疫情等不可抗力(Force majeure events including natural disasters, war, or pandemics)
• 数据库崩溃或迁移过程中的数据损坏(Database crashes or data corruption during migration)
• 账户被终止后超过保留期(30天)的数据清除(Data purging after account termination beyond the 30-day retention period)
• 因网络安全事件导致的数据损坏或删除(Data corruption or deletion caused by cybersecurity incidents)
• 您自身的操作失误(Your own operational errors)

We strongly recommend that you regularly export and locally back up your CBAM reporting data, evidence files, and working papers.

我们强烈建议您定期导出并在本地备份CBAM填报数据、证据文件和底稿。

9.3 数据恢复(Data Recovery)

In the event of data loss, we will make commercially reasonable efforts to assist with data recovery from available backups. However, we do not guarantee that all data can be fully recovered, and the completeness or timeliness of recovered data is not warranted.

如发生数据丢失，我们将尽商业上合理的努力从可用备份中协助恢复数据。但我们不保证所有数据都能完全恢复，且不对恢复数据的完整性或时效性作出保证。

9.5 免责声明(Disclaimer of Warranties)

THE PLATFORM IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT:

本平台按"原样"提供，不附带任何形式的明示或暗示保证，包括但不限于适销性、特定用途适用性和非侵权的暗示保证。我们不保证：

• 平台将无错误或不间断运行(The platform will be error-free or uninterrupted)
• AI助手的输出完全准确(AI assistant outputs are fully accurate)
• 使用平台即可满足所有CBAM合规要求(Using the platform satisfies all CBAM compliance requirements)
• 默认值数据始终为最新版本(Default values data is always the latest version)
• 您的数据绝对安全、不会丢失或不会被未授权访问(Your data is absolutely secure, will not be lost, or will not be subject to unauthorized access)
• 平台与所有第三方系统或浏览器兼容(The platform is compatible with all third-party systems or browsers)
• 计算结果（排放量、成本等）完全准确且适用于所有场景(Calculation results (emissions, costs, etc.) are fully accurate and applicable to all scenarios)

The Platform is an auxiliary tool and does not constitute professional compliance, legal, or tax advice. You should consult qualified professionals for CBAM compliance decisions.

本平台为辅助工具，不构成专业合规、法律或税务建议。您应咨询合资格专业人士做出CBAM合规决策。

10. 责任限制(Limitation of Liability)

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MINTTECH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, INCLUDING BUT NOT LIMITED TO:

在法律允许的最大范围内，MintTech不对因您使用本平台而产生的任何间接、附带、特殊、后果性或惩罚性损害承担责任，包括但不限于：

• 因填报数据错误导致的罚款或损失(Fines or losses due to incorrect reported data)
• 因服务中断导致的数据丢失(Data loss due to service interruption)
• 因AI助手建议导致的合规风险(Compliance risks from AI assistant suggestions)
• 因默认值数据过时导致的计算错误(Calculation errors from outdated default values)
• 因数据安全事件（黑客攻击、数据泄露等）导致的任何损失(Any losses resulting from data security incidents such as hacking or data breaches)
• 因不可抗力导致的服务中断或数据丢失(Service interruption or data loss due to force majeure)
• 因您未及时备份数据而导致的不可恢复的数据损失(Irrecoverable data loss due to your failure to back up data in a timely manner)
• 因第三方服务故障导致的功能不可用或数据丢失(Feature unavailability or data loss due to third-party service failures)
• 因CBAM法规变更导致的平台功能不适用(Platform feature inapplicability due to CBAM regulatory changes)

Our total aggregate liability shall not exceed the fees paid by you in the twelve (12) months preceding the claim. For free-tier users, our total aggregate liability shall not exceed RMB 100 (one hundred yuan).

我们的累计总责任不超过您在索赔前十二(12)个月内支付的费用。对于免费版用户，我们的累计总责任不超过人民币100元。

11. 终止(Termination)

Either party may terminate this agreement at any time. Upon termination:

任何一方均可随时终止本协议。终止后：

• 您的访问权限将立即被撤销(Your access will be revoked immediately)
• 您的数据将在30天后删除，除非您提前导出(Your data will be deleted after 30 days unless exported beforehand)
• 已支付的费用不予退还(Paid fees are non-refundable)
• 免责条款和责任限制继续有效(Disclaimers and liability limitations survive termination)

12. 争议解决(Dispute Resolution)

Any disputes arising from these Terms shall be resolved first through good-faith negotiation. If negotiation fails, disputes shall be submitted to the competent court in Beijing, China. These Terms are governed by the laws of the People's Republic of China.

因本条款产生的任何争议应首先通过友好协商解决。协商不成的，提交中国北京市有管辖权的人民法院。本条款适用中华人民共和国法律。

13. 条款修改(Modifications to Terms)

We reserve the right to modify these Terms at any time. We will notify registered users of material changes via email or Platform notification at least 30 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance of the modified Terms.

我们保留随时修改本条款的权利。重大变更将在生效前至少30天通过电子邮件或平台通知已注册用户。变更生效后继续使用本平台即表示接受修改后的条款。
